Terms of Service

Overview

These Terms of Service ("Terms") govern your access to and use of NexStock, an inventory management platform operated by Kutullo Innocent Moropane ("NexStock", "we", "our", or "us"), based in South Africa.

By creating an account or using any part of the NexStock service, you agree to be bound by these Terms. If you are using NexStock on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Please read these Terms carefully before using NexStock. If you do not agree with any part of these Terms, do not use the service.

Account Registration & Responsibility

To use NexStock, you must register for an account. By registering, you agree that:

• Accurate information: You will provide accurate, complete, and current registration information. Misrepresentation or fraud in account creation is grounds for immediate termination.
• Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at legal@nexstock.com if you suspect unauthorized access.
• Age requirement: You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
• One account per person: Each individual may only maintain one account. Organizations may maintain one account per organization entity.
• Team member responsibility: If you invite team members to your organization, you are responsible for ensuring they comply with these Terms and for their actions within your NexStock account.

Acceptable Use Policy

NexStock is designed for legitimate inventory management and business operations. You agree not to use the service to:

• ·Violate any applicable law, regulation, or third-party rights.
• ·Attempt to gain unauthorized access to any part of NexStock, other accounts, or our infrastructure.
• ·Reverse-engineer, decompile, or attempt to extract the source code of the NexStock application.
• ·Use automated bots, scrapers, or scripts to access the platform in a way that degrades performance for other users.
• ·Upload or transmit malware, viruses, or any code designed to disrupt or damage the service.
• ·Resell, sublicense, or redistribute NexStock as a white-label or competing service.
• ·Use the platform to manage or facilitate illegal goods or activities.
• ·Impersonate NexStock, our team, or any other user or entity.

Violation of this policy may result in immediate suspension or termination of your account without refund.

Subscriptions & Billing

Plans & Pricing

NexStock offers free and paid subscription plans. Paid plans are billed monthly or annually as described on the Pricing page. Prices are in USD unless otherwise specified and are subject to change with 30 days notice.

Payment Processing

All billing is handled by Lemon Squeezy, our payment processor. By subscribing to a paid plan, you agree to Lemon Squeezy's terms of service. NexStock does not store your payment card details. Lemon Squeezy acts as the merchant of record for all transactions.

Renewals & Cancellation

Subscriptions renew automatically at the end of each billing period. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — you will retain access until then. We do not offer prorated refunds for partial billing periods unless required by law.

Free Trial

Where a free trial is offered, it begins on the date you activate it. If you do not cancel before the trial ends, you will be charged for the applicable plan.

Failed Payments

If a payment fails, we will retry according to Lemon Squeezy's retry schedule and notify you by email. Repeated failed payments may result in your account being downgraded to the free plan or suspended until payment is resolved.

Data Ownership

You own your data. All inventory records, orders, supplier details, customer records, and other business data you enter into NexStock remain your property. We do not claim any ownership rights over your data.

You grant NexStock a limited, non-exclusive license to process, store, and transmit your data solely for the purpose of providing the service to you. We will never use your business data for advertising, resell it, or share it with third parties beyond what is described in our Privacy Policy.

You may export your data at any time from the NexStock dashboard in JSON or CSV format. Upon account termination, your data is retained for 30 days and then permanently deleted.

Service Availability & SLA

We target 99.9% uptime for the NexStock platform, measured monthly excluding scheduled maintenance windows. Scheduled maintenance will be announced with at least 48 hours notice via the status page and email.

We provide NexStock "as is" and make no guarantee of uninterrupted or error-free service. We are not liable for downtime caused by third-party providers, infrastructure failures outside our control, force majeure events, or actions of users.

For service status and incident history, visit our status page. In the event of extended downtime caused by our systems, we may at our discretion offer service credits.

Intellectual Property

NexStock and all of its components — including the application, user interface, design, code, trademarks, and content created by us — are owned by Kutullo Innocent Moropane and protected by applicable intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use NexStock for your internal business purposes. This license does not include the right to sublicense, resell, white-label, or create derivative works from the NexStock platform.

If you submit feedback, ideas, or suggestions to NexStock, you grant us a perpetual, irrevocable, worldwide license to use that feedback in any way we choose, without compensation to you.

Limitation of Liability

To the maximum extent permitted by applicable law, NexStock and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of the service.

Our total aggregate liability to you for any claims arising from or related to these Terms or the service shall not exceed the greater of (a) the total fees you paid to NexStock in the 12 months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Termination

By You

You may terminate your account at any time by cancelling your subscription from the account settings page. Upon termination, your access will continue until the end of the current billing period. Your data will be retained for 30 days and then permanently deleted.

By NexStock

We reserve the right to suspend or terminate your account immediately and without notice if you:

• ·Violate these Terms or our Acceptable Use Policy.
• ·Engage in fraudulent, abusive, or illegal activity.
• ·Fail to pay subscription fees after reasonable notice.
• ·Pose a security risk to the platform or other users.

Where practical, we will give you notice before terminating and an opportunity to remedy the violation.

Disputes & Governing Law

These Terms are governed by the laws of the Republic of South Africa, without regard to conflict of law principles. Any disputes arising from these Terms or your use of NexStock shall be subject to the exclusive jurisdiction of the courts of South Africa.

Before initiating any legal proceedings, you agree to attempt in good faith to resolve the dispute by contacting us at legal@nexstock.com. We will attempt to resolve any dispute within 30 days of receiving notice.

Changes to Terms

We may update these Terms from time to time to reflect changes in the service, law, or business. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of NexStock after the effective date constitutes acceptance of the revised Terms. If you disagree with the changes, you may cancel your account before the effective date.
